These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Dial Flow Solutions LLC, a limited liability company ("Company," "we," "us," or "our"). By accessing our website at dialflowsolutions.com, purchasing any service, or using our AI audit system, you agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, do not use our services, make any purchase, or access our platform.

Dial Flow Solutions LLC provides AI-powered business audit services including but not limited to:

• The AI Business Audit: An automated voice-based audit conducted by an AI agent via telephone, resulting in a personalized written report delivered electronically.
• Follow-Up Consultation: A post-audit discussion of audit findings and recommendations.
• Buildout Services: Custom AI tool implementation, workflow automation, and systems integration, scoped and priced individually per engagement.

All services are provided on a business-to-business basis. Our services are intended solely for use by adults aged 18 or older operating legitimate business enterprises.

3.1 AI-Conducted Interactions. You expressly acknowledge and agree that:

• The audit call is conducted entirely by an artificial intelligence voice agent, not a human representative of Dial Flow Solutions LLC.
• In accordance with FCC regulations and current best practices, our AI agent will identify itself as an AI system at the start of every call.
• The report generated from your audit is produced through automated AI systems including large language model processing.

3.2 Call Recording and Transcription Consent. By purchasing our audit service and calling our dedicated audit line, you expressly consent to:

• The recording of your call in its entirety.
• The transcription of your call using automated speech-to-text technology.
• The processing of your call transcript through third-party AI systems for the purpose of generating your report.

You acknowledge that this call recording disclosure, presented prior to any substantive conversation, satisfies notification requirements under applicable state recording laws including all-party consent states such as California, Connecticut, Delaware, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, New Hampshire, Oregon, Pennsylvania, and Washington. By continuing your call after hearing the recording disclosure, you provide implied consent to recording under all applicable state laws.

3.3 No Professional Advice. The recommendations contained in your audit report are generated by automated AI systems based on the information you provide during your audit call. These recommendations:

• Do not constitute legal, financial, accounting, medical, or other licensed professional advice.
• Are provided for informational and operational planning purposes only.
• Should be independently evaluated before implementation.
• May not be suitable for every business or situation.

Dial Flow Solutions LLC is not a licensed legal, financial, or technology consulting firm. We expressly disclaim any liability arising from your reliance on report recommendations without independent verification.

4.1 Pricing. All prices are displayed in United States Dollars (USD). Current pricing for the AI Business Audit is $197.00 per audit. Buildout service pricing is provided on a custom basis per engagement following audit completion.

4.2 Payment Processing. All payments are processed securely through Stripe Inc., a third-party payment processor. By making a purchase you agree to Stripe's Terms of Service and Privacy Policy. Dial Flow Solutions LLC does not store, process, or have access to your full payment card details at any time.

4.3 Audit Access. Upon successful payment you will receive a dedicated audit line number and a unique access code by email within five (5) minutes. This access code is valid for seven (7) calendar days from the date of purchase. Access codes are non-transferable and may only be used by the purchasing business entity.

4.4 Refund Policy. Due to the immediate delivery of access credentials and the automated nature of service delivery:

• All sales are final once the access code has been delivered to your email address.
• No refunds will be issued after the access code email has been sent regardless of whether the audit call has been completed.
• If you experience a technical failure during your audit call that prevents completion through no fault of your own, contact us within 48 hours at support@dialflowsolutions.com and we will issue a replacement access code at no charge.
• Buildout service deposits are non-refundable once work has commenced.

4.5 Chargebacks. Initiating a chargeback or payment dispute after receiving your access code constitutes a breach of these Terms. We reserve the right to pursue recovery of disputed amounts plus any associated fees through available legal remedies.

5.1 Our Property. All content on the Dial Flow Solutions LLC website including but not limited to text, graphics, logos, design, code, audit methodologies, report templates, AI prompts, and proprietary workflows are the exclusive intellectual property of Dial Flow Solutions LLC and are protected by applicable copyright, trademark, and trade secret laws. Unauthorized use, reproduction, or distribution is strictly prohibited.

5.2 Your Report. Upon full payment and completion of your audit, the personalized report generated for your business is licensed to you for your internal business use only. You may not resell, redistribute, or commercially exploit your audit report.

5.3 Your Content. You retain ownership of all information you provide during your audit call. By providing this information you grant Dial Flow Solutions LLC a limited, non-exclusive license to use it solely for the purpose of generating your report and improving our services as described in our Privacy Policy.

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws or regulations.
• Provide false, misleading, or fraudulent information during your audit call.
• Attempt to reverse engineer, copy, or replicate our audit methodology, AI systems, or proprietary workflows.
• Share, sell, or transfer your access code to any third party.
• Use our services if you are a direct competitor of Dial Flow Solutions LLC for the purpose of competitive intelligence gathering.
• Attempt to circumvent, disable, or interfere with any security features of our systems.
• Use our services to collect information about our proprietary technology for the purpose of building a competing service.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DIAL FLOW SOLUTIONS LLC PROVIDES ALL SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose.
• Warranties that the service will be uninterrupted, error-free, or secure.
• Warranties regarding the accuracy, completeness, or reliability of any report or recommendation.
• Warranties that any recommended AI tool or implementation will achieve any particular business result.

We do not warrant that our AI audit system will identify every opportunity or inefficiency in your business, or that the tools we recommend will be appropriate for your specific circumstances.

8.1 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL CUMULATIVE LIABILITY OF DIAL FLOW SOLUTIONS LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND CONTRACTORS TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8.2 Exclusion of Consequential Damages. IN NO EVENT SHALL DIAL FLOW SOLUTIONS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR COST OF SUBSTITUTE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.3 LLC Liability Protection. Dial Flow Solutions LLC is organized as a limited liability company. Nothing in these Terms shall be construed to pierce the corporate veil or impose personal liability on any member, manager, or officer of Dial Flow Solutions LLC beyond their interest in the Company.

You agree to defend, indemnify, and hold harmless Dial Flow Solutions LLC and its members, managers, officers, employees, agents, and contractors from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of our services.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any misrepresentation made by you during the audit process.
• Your implementation of or reliance on audit report recommendations.

Our services are delivered through a combination of third-party platforms including but not limited to Bland.ai or Vapi.ai (AI voice), Anthropic Claude (report generation), Make.com (workflow automation), SendGrid (email delivery), Stripe (payment processing), PDFMonkey (document generation), and Airtable (data management).

By using our services you acknowledge that:

• We are not responsible for the availability, accuracy, or performance of third-party platforms.
• Third-party platforms have their own terms of service and privacy policies.
• Disruptions to third-party services may affect service delivery timelines.
• We will make reasonable efforts to notify you of significant delays caused by third-party outages.

11.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Nebraska, and you consent to personal jurisdiction in those courts.

11.2 Informal Resolution. Before initiating any formal legal proceeding, you agree to contact us at support@dialflowsolutions.com and attempt to resolve the dispute informally for a period of thirty (30) days.

11.3 Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or our services shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11.4 Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm without waiving the right to arbitration for other claims.

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the Effective Date at the top of this document and by posting a notice on our website. Your continued use of our services after the effective date of any modification constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dial Flow Solutions LLC with respect to your use of our services and supersede all prior agreements, understandings, and representations.
